Аннотация

Трансфер технологий выступает ключевым элементом инновационного процесса. Оценить его эффективность возможно путем измерения основных детерминант, характеризующих сделки слияния и поглощения (СП). Авторы использовали анализ среды функционирования (data envelopment analysis, DEA). Данный метод учитывает как результирующие (характеристики фирмы-покупателя после слияния), так и исходные параметры (технологический потенциал объекта поглощения до слияния), обеспечивая многомерную оценку, в том числе стоимости приобретенной технологической базы.Исследование на выборке из 434 сделок СП выявило неблагоприятные последствия наращивания потенциала для компании-приобретателя за счет сторонних технологий. Чем большей интенсивностью исследований и разработок она отличалась до совершения сделки, тем ниже эффективность межорганизационного трансфера технологий. Размеры фирмы-покупателя и относительный масштаб сделки также существенно и негативно влияют на результаты СП. При этом эффект таких характеристик приобретателя, как капиталоемкость и число патентов, остается незначительным.
